End User License Agreement (EULA)

This End User License Agreement (“Agreement”) governs the use of the TRAILFLOW software product, including the Recording Agent and Trail Verifier modules (collectively, the “Software”). By installing, accessing, or using the Software, the user agrees to be bound by the terms of this Agreement.

1. License Grant

TRAILFLOW grants a limited, non-exclusive, non-transferable, revocable license to use the Software for internal business purposes, subject to the terms of this Agreement.

The Software is licensed, not sold.

2. License Scope and Activation

• The Software may require a valid license file for full functionality.
• A license may be bound to a specific workstation or installation identifier.
• Use of the Software beyond the licensed scope is not permitted.
• License validity may be time-limited and require renewal.

3. Permitted Use

• Use the Software for internal operational, review, training, or analysis purposes.
• Install and run the Software on authorized workstations within the licensed scope.
• Generate and review recordings using the provided functionality.

4. Restrictions

• No redistribution, resale, sublicensing, or commercial exploitation of the Software.
• No reverse engineering, decompilation, or disassembly except where legally permitted.
• No circumvention of licensing mechanisms or technical protections.
• No use of the Software in violation of applicable laws or regulations.

5. Recordings and Data

• The Software may generate recordings of workstation activity.
• The customer is solely responsible for how recordings are used, stored, and shared.
• The Software does not enforce access control over recordings beyond its technical design.
• Any licensed verifier instance may open recordings if technically compatible.

6. No Legal Certification

The Software provides technical recording and verification capabilities. It does not provide legal certification, legal compliance guarantees, or evidentiary validation under any jurisdiction.

Customers are responsible for determining whether recordings meet their legal, regulatory, or internal compliance requirements.

7. Updates and Changes

• The Software may be updated or modified over time.
• Compatibility between versions is not guaranteed unless explicitly stated.
• License terms may evolve with future versions.

8. Support

Support is provided according to the TRAILFLOW Support Policy available on the website.

Additional support or maintenance services may be provided under separate agreement.

9. Warranty Disclaimer

The Software is provided “as is” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, TRAILFLOW shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, business interruption, or loss of profits arising from the use or inability to use the Software.

11. Termination

• This license terminates automatically if the user violates this Agreement.
• Upon termination, the user must cease use of the Software and remove all copies.

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Luxembourg. Any disputes arising from or in connection with this Agreement shall be subject to the jurisdiction of the courts of Luxembourg.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the use of the Software and supersedes any prior agreements or understandings.
